General Terms and Conditions (GTC)

1. Scope of Application

1.1These General Terms and Conditions (GTC) govern the business relationship between orva (in formation), Zurich (hereinafter "Provider"), and its customers. They apply to all products and services offered via www.orva.ch.

1.2The offering is exclusively available to natural persons aged 18 or older with residence in Switzerland.

1.3The platform facilitates telemedicine consultations by physicians licensed to practice in Switzerland as well as the execution of medical prescriptions by pharmacies with mail-order authorization.

2. Platform and Registration

2.1The Provider operates a digital infrastructure that enables users to access independent medical professionals ("Partner Physicians") and licensed pharmacy operators ("Partner Pharmacies").

2.2Use of the platform requires the creation of a personal user account. Registration includes the provision of complete and accurate personal information, a valid email address, and residential address. Identity must be verified by presenting an official identification document.

2.3The Provider does not itself provide medical treatment or pharmaceutical services. Its activities are limited to operating the technical infrastructure and facilitating contractual relationships.

2.4Services arranged through the platform are provided as private services. Reimbursement by mandatory health insurance (KVG) is excluded. This also applies to medications obtained through Partner Pharmacies.

2.5By registering, users consent to medical prescriptions being transmitted directly to Partner Pharmacies.

2.6Authorization for Partner Pharmacies to execute prescriptions by mail order is valid for a period of 24 months from registration and may be revoked at any time.

2.7In the event of violations of these GTC or abusive behavior, the Provider is entitled to temporarily or permanently block access to the platform or delete the user account.

2.8By registering, users agree to be contacted for service and information purposes via the registered contact details. This consent may be revoked at any time by sending a message to legal@orva.ch.

3. Contract Formation

3.1Users engage the Provider to facilitate access to Partner Physicians and/or Partner Pharmacies. The actual treatment contract arises directly between users and the respective service providers.

3.2Displays of treatment options and products on the platform serve informational purposes and do not constitute binding offers. Product selection by users merely establishes a non-binding preference and is binding on neither Partner Physicians nor Partner Pharmacies.

3.3Medications can only be ordered after a valid medical prescription has been issued. Orders are subject to pharmaceutical review by the Partner Pharmacy.

4. Telemedicine Consultation

4.1Partner Physicians conduct remote consultations upon request. The Partner Physician may refer users to other Partner Physicians for consultation purposes or ongoing care. To ensure interactive communication, the Partner Physician may ask follow-up questions via the platform at any time.

4.2There is no legal entitlement to the issuance of a prescription. The decision regarding any medication treatment rests solely within the professional discretion of the treating physician.

4.3If medication treatment is deemed indicated, the Partner Physician will issue a prescription enabling the acquisition of the corresponding medications. The prescription contains the required therapy instructions (medication, dosage, application). It applies exclusively to the designated person and is non-transferable.

4.4In accordance with the principle of free pharmacy choice, users have the right to fill the prescription at any pharmacy of their choice. Upon request, the original prescription will be sent by post.

4.5The Partner Physician's contractual service obligation is fulfilled upon completion of the remote consultation – regardless of whether a prescription is issued or referral to another physician is recommended.

5. Pharmaceutical Services

5.1Partner Pharmacies validate medical prescriptions in accordance with recognized principles of good dispensing practice and in compliance with their pharmaceutical duty of care. Prescriptions issued by other physicians may only be executed via the platform with the express consent of the Provider.

5.2There is no entitlement to dispensing of any specific medication. The Partner Pharmacy may refer users to other Partner Pharmacies for pharmaceutical services. To ensure medication safety, the Partner Pharmacy is entitled to adjust delivery quantities or exclude individual products from delivery.

5.3Delivery is made by postal service or comparable logistics provider to the delivery address specified by users. Delivery delays due to external circumstances (e.g., supply shortages, logistics disruptions) are reserved.

5.4The Partner Pharmacy's service obligation is fulfilled upon proper handover of the shipment to the logistics provider.

6. User Obligations

6.1Users are obligated to provide all information relevant to assessment completely and truthfully. Changes in health status must be reported to the Partner Physician or Partner Pharmacy without delay.

6.2Users acknowledge that telemedicine consultation cannot be conducted in all cases and cannot replace physical examination. It is within the professional discretion of the Partner Physician to request users to attend an in-person medical visit. Telemedicine consultation is not suitable for persons who require on-site monitoring or immediate medical intervention.

6.3Medications must be used exclusively in accordance with package inserts, medical prescriptions, or instructions from medical professionals. In case of uncertainty, users must consult with the Partner Pharmacy before use. In case of complications or changes in health status, the Partner Physician or Partner Pharmacy must be contacted immediately.

7. Prices and Payment

7.1All prices are in Swiss Francs (CHF) and include statutory value-added tax (VAT). Shipping and packaging costs are displayed separately.

7.2The fee displayed on the platform is due for telemedicine consultation. This fee is also due if the Partner Physician does not issue a prescription or recommends a referral.

7.3The fee displayed on the platform is due for pharmaceutical services. This includes the cost of the medication as well as its procurement and storage.

7.4Payment is made via the payment methods offered on the platform. By registering, users authorize the designated payment method to be charged with amounts due. Electronic confirmation is provided for each charge.

7.5If the Partner Pharmacy refuses to dispense a medication or reduces the order quantity, payments already made will be refunded accordingly.

7.6Late payment may incur default interest of 5% per annum.

8. Warranty

8.1Customers must inspect delivered goods immediately upon receipt for defects and report any defects in writing within 7 days at the latest. After discovery of a defect, the product may no longer be used.

8.2In case of proven defects, replacement delivery will be provided. Liability for defects is limited to replacement delivery. Further claims are excluded. Return shipping costs are borne by the Partner Pharmacy.

8.3A general right of return or withdrawal does not exist. This applies in particular to medications for reasons of health protection and medication safety.

9. Liability

9.1The Provider acts exclusively as an intermediary. To the extent permitted by law, the Provider's liability for acts and omissions of Partner Physicians and Partner Pharmacies is excluded. In particular, the Provider is not liable for claims arising from or in connection with the treatment contract or the dispensing of medications.

9.2Liability of Partner Physicians and Partner Pharmacies is governed by statutory provisions. Liability is limited to intent and gross negligence. Liability for indirect damages, consequential damages, and lost profits is excluded.

9.3No liability is assumed for damages attributable to improper use or storage of medications, damages resulting from breach of information or cooperation obligations by users, or damages due to transmission errors, technical malfunctions, or interruptions.

9.4The Provider is not liable for force majeure, security deficiencies of third parties, improper conduct by users, or interference by third parties (e.g., viruses, cyber attacks).

10. Data Protection

10.1Users grant the Provider as well as Partner Physicians and Partner Pharmacies consent to collect, process, and share personal data to the extent necessary for contract performance. This includes particularly sensitive data regarding health status pursuant to Art. 5 lit. c DPA. Details are set out in the Privacy Policy.

10.2This consent constitutes release of Partner Physicians and Partner Pharmacies from professional secrecy obligations under Art. 321 of the Swiss Criminal Code to the extent required for service provision.

10.3Consent may be withdrawn at any time with effect for the future. Withdrawal must be made in writing. The lawfulness of data processing carried out prior to withdrawal remains unaffected.

10.4Users are aware of the risks of electronic data exchange and consent to electronic communication between the Provider, Partner Physicians, Partner Pharmacies, and themselves. The Privacy Policy forms an integral part of these GTC.

11. Final Provisions

11.1The Provider reserves the right to amend these GTC at any time. The version valid at the time of contract conclusion shall apply.

11.2Should individual provisions of these GTC be or become invalid or incomplete, the validity of the remaining provisions shall remain unaffected. In place of the invalid or incomplete provision, a regulation shall apply that comes closest to the economic purpose of the original provision.

11.3The Provider is entitled to transfer rights and obligations under this contractual relationship in whole or in part to third parties. Users may only do so with the written consent of the Provider.

11.4These GTC are governed by Swiss law. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

11.5Exclusive place of jurisdiction is Zurich, Switzerland.
